Saudi Arabia's beneficial-owner rules apply to nearly every company — only listed joint-stock companies are carved out, and even they must prove it. UBO applies the criteria in their legal sequence: 25% of capital, held directly or indirectly through other companies; then control by any means — voting rights, the power to appoint or remove management, effective influence; and, if no one qualifies, the manager or board as fallback. Indirect stakes are computed through your real ownership graph, not eyeballed. The result feeds a compliant register, an annual confirmation timed to your CR anniversary, and a 15-day update task whenever the facts change. Failing any of these engages Companies Law penalties of up to SAR 500,000.قواعد المستفيد الحقيقي في السعودية تشمل كل الشركات تقريباً — لا يُستثنى إلا المساهمة المدرجة، وحتى هي عليها إثبات ذلك. يطبّق المنتج المعايير بتسلسلها النظامي: 25% من رأس المال، ملكيةً مباشرة أو غير مباشرة عبر شركات أخرى؛ ثم السيطرة بأي وسيلة — حقوق التصويت، وسلطة تعيين الإدارة وعزلها، والتأثير الفعلي؛ وإن لم يتحقق أحد، فالمدير أو مجلس الإدارة بديلاً. والحصص غير المباشرة تُحسب عبر هيكل ملكيتك الحقيقي، لا بالنظر. تغذّي النتيجة سجلاً نظامياً، وتأكيداً سنوياً بتوقيت ذكرى سجلك التجاري، ومهمة تحديث خلال 15 يوماً كلما تغيّرت الوقائع. والإخلال بأيٍّ منها يستدعي عقوبات نظام الشركات حتى 500,000 ريال.

Every company incorporated under the Companies Law keeps a beneficial-owner register, files the annual confirmation, and reports changes within 15 days — regardless of size or sector. The only companies carved out are listed joint-stock companies, and the carve-out is not automatic: it has to be established and kept current.كل شركة مؤسَّسة وفق نظام الشركات تحتفظ بسجل المستفيد الحقيقي، وتقدّم التأكيد السنوي، وتُبلغ عن أي تغيير خلال 15 يوماً — أياً كان حجمها أو نشاطها. ولا يُستثنى من ذلك إلا الشركات المساهمة المدرجة، والاستثناء ليس تلقائياً: يجب إثباته وإبقاؤه محدَّثاً.

If your company is wholly owned by a company listed on the Exchange, Article 7 exempts it from keeping the full register — its ownership already sits inside a publicly disclosed structure. The exemption is not silence, though: an annual exemption confirmation is still due on the CR anniversary, and any change to the entitlement — the listed parent's stake dropping below 100%, for instance — still triggers the 15-day update.
