The 120-day deadline, and what happens if you miss itمهلة الـ120 يوماً، وماذا يحدث إن فاتتك

For a 31 December year-end, the return is due at the end of April. That much is widely known. What is less widely known is that missing the date costs you something quite different depending on whether you owe income tax, zakat, or both — and that on the zakat side the consequence is not a fine at all.

01The deadline itself

The return is due 120 days after the end of the fiscal year. The number is the same on both sides, but it comes from two different places: for income tax, Article 60(b) of the Income Tax Law; for zakat from FY 2024 onward, Article 102 of the Zakat Implementing Regulations issued under Ministerial Resolution 1007/1445H. For fiscal years 2023 and earlier, the zakat deadline sits in Article 17 of the previous regulations (MR 2216/1440H).

It is counted in days, not months — which is why the date moves. For a 31 December year-end in an ordinary year, day 120 is 30 April. In a leap year it is 29 April, because February contributes an extra day to the count. It is a small thing, and it is exactly the kind of small thing that turns an on-time filing into a late one.

02When day 120 lands on a holiday

Only if it lands on an official holiday. The regulation's wording is precise: where the last day of the period falls on an official holiday, the due date extends to the first working day after it. A holiday running into the Friday–Saturday weekend carries the date across the whole chain to the next working day — but a due date landing on a plain Friday or Saturday, with no holiday, does not move. Treat a weekend due date as exactly what it says.

The two sides differ hereالجانبان يختلفان هنا

On the zakat side the roll is written into the regulation — Article 102(1) states that a deadline falling on an official holiday moves to the first working day after it. On the income-tax side, Article 60 is silent; the roll is administrative practice, not text. In practice both roll. But only one of them is something you can point at in a regulation if it is ever questioned.

03Paying income tax late

The late-payment penalty is 1% of the unpaid tax for every 30 days of delay, under Article 77(a) of the Income Tax Law and Article 68 of its implementing regulations. Four properties of that rule matter more than the rate:غرامة التأخر في السداد هي 1% من الضريبة غير المسددة عن كل 30 يوماً من التأخير، بموجب المادة 77(أ) من نظام ضريبة الدخل والمادة 68 من لائحته التنفيذية.

  • It counts completed 30-day periods. Twenty-nine days late carries no penalty at all; thirty days carries 1%.
  • It counts calendar days — weekends and holidays included.
  • It does not compound. Each period adds 1% of the original unpaid amount, not 1% of a growing balance.
  • It has no ceiling. It simply keeps accruing. This is the one that hurts: a liability left alone for two years carries roughly 24% on top.

04Paying zakat late — the part most people get wrong

There is no statutory late-payment fine on zakat. Not a smaller one, not a different rate — none. The words for fine, penalty, and sanction do not appear anywhere across the 128 articles of MR 1007/1445H.

That is not the relief it sounds like. Zakat arrears are pursued through collection measures instead, and the escalation is laid out explicitly:وليس في ذلك من التخفيف ما يبدو.

120Successive payment demands — three stages of 30 days each.
Articles 122–124المواد 122–124Seizure of assets.
125Enforcement, plus suspension from government tenders, recruitment, and work permits.

For most businesses operating in the Kingdom, being barred from government tenders and unable to issue work permits is a far heavier outcome than 1% a month. No fine is not the same as no consequence — and the zakat consequence is operational rather than financial, which is precisely why it is underestimated.

05Filing late, as distinct from paying late

These are two separate failures with two separate consequences, and it is common to conflate them. On the income-tax side, Article 76 sets a late-filing fine as a percentage of the unpaid tax, tiered by the length of the delay: 5% up to 30 days, 10% beyond 30 and up to 90, 20% beyond 90 and up to 365, and 25% past a year. That schedule applies in lieu of the alternative basis — 1% of total revenues capped at SAR 20,000 — where the alternative would be the lesser, so in practice you pay the higher of the two.

They stack

Article 77(a) opens by stating its fine is imposed in addition to the fines of Article 76. Filing late and paying late on the same return therefore attract both: the tiered filing percentage and 1% for every completed thirty days. They are not alternatives.

On the zakat side there is no filing fine either — the absence is total. But "no fine" is not "no exposure", and the real consequence is a different instrument: where a return is not filed, the Authority may raise a presumptive assessment on the information available to it, determining your zakat for you. That power is bounded — it requires prior warning to the taxpayer and at least 60 days elapsed from the date of that warning — but once 120 days pass from year-end without payment of the declared amount, the dues become final and payable.

A presumptive assessment is worse than a fine in one specific way: a fine is a number added to a figure you computed, whereas a presumptive assessment replaces your figure with the Authority's.

06Planning backwards from the date

The deadline is the end of a chain, not a single task. Working back from day 120, the return needs a computed result; the result needs approved account mappings; the mappings need a trial balance that balances; and the trial balance needs the books closed. Each step can send you back a step.

The step most often missed is the one that depends on somebody else's calendar. Under Article 60(e) of the Income Tax Law, a taxpayer with an income-tax leg whose gross income — measured before deducting expenses — exceeds SAR 1,000,000 must have the return certified by a licensed accountant. The same requirement applies to entities listed on Tadawul or Nomu and to SAMA-licensed financing entities, regardless of size. A certifying accountant needs lead time, and lead time is the thing you cannot buy back in the last fortnight of April.
