Zakat base vs. taxable profit: which path is yours

The usual summary is that Saudi and GCC owners pay zakat and foreign owners pay income tax. That is the default, and it is right most of the time. But two carve-outs override it, and once you know them you can no longer treat "the foreign share" and "the taxed share" as the same number.

01The default: who owns the shares

For a resident capital company, the obligation is split by shareholding. Under Articles 2(a) and 6(a) of the Income Tax Law, the tax base is the share of non-Saudi partners in taxable income. The zakat regulations make the parallel claim on the Saudi side.

GCC nationals are treated as Saudi nationals for this purpose — their shares route to zakat, not to income tax. The regulation says so directly: Saudi resident companies are assessed for zakat in respect of Saudi partners' shareholding "and the shareholding of GCC nationals accorded similar treatment the same as Saudi nationals".

The split is measured per shareholder, not per company. One entity can carry several different shareholder categories at once, which is why a two-line summary of the register is rarely enough to determine the treatment.

02Two carve-outs that override the default

Listed companies — foreign shares into zakat

For a Saudi-resident listed company (Tadawul main market or Nomu), non-Saudi shares held by anyone other than founding shareholders — or their successors under the Articles of Association or other statutory documents — are subject to zakat, not income tax. This runs the opposite way to the default: it pulls foreign capital into the zakat base.

Founder status is the pivot, and it is not always obvious who holds it after an IPO and a few transfers. Where the Articles are silent on whether founder status travels with transferred shares, that is a question for a ruling rather than a judgement call.

Oil and hydrocarbon production — by activity, not nationality

Shares owned by persons engaged in oil and hydrocarbon production are subject to income tax regardless of nationality. A Saudi or GCC shareholder who is an oil producer is taxed rather than zakat-assessed. This is the carve-out that breaks the "nationality decides" summary outright — here it is the activity that decides, and it applies share by share.

The rate for this category is a sliding scale well above the standard rate. We are not going to quote the brackets: their exact boundaries are not something we have been able to source to a primary text, and a wrong bracket here is a very large wrong number. If a shareholder is in this category, that is a case for a specialist.

The consequence worth internalising

Because of these two carve-outs, "the non-Saudi share" is not a synonym for "the taxed share." The taxed share can include Saudi and GCC shareholders (oil producers) and can exclude non-Saudi shareholders (non-founders in a listed company). Any calculation that starts by treating foreign ownership percentage as the tax apportionment factor has already made an assumption it needs to check.

03How a mixed entity is actually computed

A common misconception is that a mixed entity splits its books — that you allocate each account between the Saudi and foreign sides and compute two small companies. That is not how it works.

The zakat base is computed once, at full-entity value, using all the additions and all the deductions at their full amounts. The statutory bounds are applied to that full-entity figure. Only at the end is a single apportionment applied to arrive at the amount attributable to the zakat-routed owners. The income-tax leg is computed in parallel on its own basis and apportioned the same way.

The apportionment factor is capital ownership percentage — for both legs. Not profit share, not voting rights, not revenue contribution. Where the Articles of Association give a partner a profit share that differs from their capital share, which is unusual but perfectly legal, capital still controls the split. That divergence is worth flagging to an adviser rather than resolving quietly, because it is not settled by published law.

04The two bases measure different things

This is the conceptual difference that explains most of the surprises. Taxable income is a profit measure: adjusted profit or loss, plus tax additions, minus tax deductions. The zakat base is not a profit measure at all — it is closer to a sources-of-funds measure, assembled as the regulation's additions minus its deductions, and it can be substantial in a year with no profit whatsoever.

A minimum-base rule then binds when the assembled base falls below the profit measure. It is not a single simple floor — Article 27 sets out more than one branch, and which one applies depends on the entity's own figures. It is enough to know that the base cannot simply be driven to nothing by the deductions, and that working out which branch governs is a real computation rather than a comparison.

05If ownership changed during the yearإذا تغيّرت الملكية خلال السنة

For zakat, the rule is a year-end snapshot, and it is explicit. A shareholder who holds on the last day of the zakat year counts at their full capital percentage; a shareholder who exited during the year counts as zero — regardless of how long they held. Article 13(4) states that the taxpayer is assessed according to the owners and ownership shares at the end of the zakat year, irrespective of variation in the percentage during the year. Time-weighting a departed shareholder is not a conservative approximation here; it is the wrong rule.

Settled on one leg onlyمحسوم في شقٍّ واحد فقط

That snapshot is settled law for zakat. For the income-tax leg the statutes are silent on mid-year transfer timing. Applying the same snapshot there is a reasonable working position, not a rule anyone can cite. If a material transfer happened mid-year on the taxed side, that is a case to take to a ruling rather than to settle from a blog post.

06The rates

Income taxضريبة الدخل20% — the standard corporate rate under Article 7, applied to the taxed share of taxable income.20% — النسبة العامة للشركات بموجب المادة 7، تُطبَّق على الحصة الخاضعة من الدخل الخاضع.
Zakatالزكاة2.5% adjusted by day count: 2.5% × the fiscal period's days ÷ 354.2.5% معدَّلة بعدد الأيام: 2.5% × أيام الفترة المالية ÷ 354.

The 354 in that denominator is the Hijri year, and it is a fixed constant rather than a lookup. The practical consequence is that 2.5% is not the rate for most filers: a 365-day Gregorian fiscal year produces an effective rate slightly above 2.5%, because a Gregorian year is about eleven days longer than a Hijri one. The day-count rate applies uniformly to the whole base, with no separate treatment for the profit component.
